AYB Water: Project Linkage & Consultancy Engagement Framework
These terms outline the professional relationship between AYB Water ("the consultant") and the party seeking linkages ("the client").
1. Preliminary Engagement
By submitting an expression of interest, the Client confirms their capacity to provide development funding or EPC services for water sector projects. Submitting this interest is free of charge, and no fees will be incurred until a formal agreement is reached.
2. Confidentiality & Non-Circumvention
Upon the identification of a potential project match, both parties agree to execute a formal Non-Disclosure Agreement (NDA) and Non-Circumvention Agreement. These documents ensure the protection of proprietary information and the integrity of the business relationship.
3. Engagement Process & MOU
Once a potential alignment is identified, we will enter into a Memorandum of Understanding (MOU). This document will define our working relationship, operational expectations, and the specific framework for the proposed collaboration.
4. Consultancy Agreements & Fee Structure
Success-Based Model: Our primary consultancy fee is contingent upon a successful linkage—defined as the formalization of a project relationship between the Client and the project entity.
4.1. Fee Determination: All consultancy fees will be mutually negotiated to ensure a fair and equitable arrangement for both parties. These details will be finalized in a formal Consultancy Agreement before any obligation arises.
4.2. Additional Services: Any advisory or consultancy services requested outside of this standard linkage framework will be subject to a separate, negotiable "Value-Addition Fee."
5. Transparency & Milestone-Based Planning
We are committed to full transparency. There are no hidden fees. Because every project and partnership is unique, all terms, deliverables, and associated costs will be established on a case-by-case basis.
6. Future Documentation
Specific operational terms, delivery schedules, and project-based obligations will be governed by secondary MOUs and definitive delivery contracts, which shall be drafted and mutually signed as project milestones are reached.
